MSME registration for sole proprietorship firms is free and done online on the Udyam portal with the proprietor's Aadhaar and PAN. Nothing is uploaded.
You get your Udyam Registration Number when you submit, and the e-certificate online, generally within 2 to 3 days.
Udyam registration for proprietorship: key takeaways
- Registration is free on udyamregistration.gov.in. Sites charging ₹999 or more are private agents, not the government.
- You upload nothing. The proprietor's Aadhaar OTP and PAN are enough, and your Udyam number appears on screen the moment you submit.
- Since April 2025, a micro business can have up to ₹2.5 crore invested and ₹10 crore in sales. Export earnings do not count.
- Register before you invoice. The 45-day rule only helps with bills you send after you sign up, and only to buyers in India.
- Traders can register too, but they only get priority sector loans, not payment protection or tender perks.
Find your situation below:
| You are | Should you register? | What you get from it |
|---|---|---|
| Freelancer or consultant | Yes, under Services | 45-day payment protection, bank KYC proof |
| Proprietor exporting services | Yes | Export earnings do not count towards your size |
| Manufacturer | Yes, under Manufacturing | Payment protection, collateral-free loans, tenders |
| Shop owner or trader | Yes, under Services with a trading NIC code (45, 46 or 47) | Priority sector lending only |
| New business, no tax return yet | Yes | Self-declare investment and turnover |
| No PAN or GST at all | Ask your bank, NBFC or microfinance lender to register you on Udyam Assist | A certificate valid for priority sector loans |
| Crop farmer, or employer of household staff | No, these activities are excluded | Not applicable |
Can a Sole Proprietor Register as MSME?
Yes. A sole proprietor can register as an MSME on the Udyam portal, using the proprietor's own Aadhaar and PAN. MSME registration for proprietorship firms is open to makers, service providers and traders.
Firms and companies follow the general MSME registration steps with their own PAN.
Four rules shape how it works for you:
- One registration per enterprise. Your PAN is the firm's PAN, so all your businesses and GSTINs under it count as one enterprise. Add each activity to the same Udyam.
- Traders get less. Shop owners and traders can register. But a government order of 2 July 2021 gives them only priority sector lending.
- Some activities cannot register. Crop farming (NIC 01, apart from listed allied work such as poultry, bee-keeping and sericulture), forestry (02), fishing (03) and household or extra-territorial activities (97, 98, 99) are excluded.
- No PAN or GST? Use the Udyam Assist Platform, explained below.
How does the Udyam Assist Platform work for a proprietor without PAN or GST?
The Udyam Assist Platform registers informal micro businesses that sit outside GST and income tax, such as a home tailor or a street vendor. You cannot sign up on it yourself; a designated agency does it for you.
- Go to a scheduled commercial bank, NBFC or microfinance lender you already deal with, or its banking correspondent.
- Ask them to register you on Udyam Assist. Carry your Aadhaar and the mobile number linked to it.
- Give your consent when the SMS arrives on that mobile. No documents are uploaded.
- Once the checks are done, you get your UDYAM-I number by SMS. Download the Udyam Assist Certificate yourself on udyamassist.gov.in under Print / Verify, then Print Udyam Certificate, with that number and an OTP.
The certificate counts as Udyam for priority sector loans only. It does not give you the 45-day payment rule or tender benefits. Once you get a PAN, or GST applies to you, register on the main Udyam portal.
What Are the MSME Classification Limits in 2026?
An enterprise is micro if its investment is up to ₹2.5 crore and turnover up to ₹10 crore, under the MSME classification revised from 1 April 2025. Both limits must hold; crossing either one moves you up a category.
| Category | Investment up to | Turnover up to | Before April 2025 |
|---|---|---|---|
| Micro enterprise | ₹2.5 crore | ₹10 crore | ₹1 crore / ₹5 crore |
| Small enterprise | ₹25 crore | ₹100 crore | ₹10 crore / ₹50 crore |
| Medium enterprise | ₹125 crore | ₹500 crore | ₹50 crore / ₹250 crore |
Many pages, including Google's own summary for this search, still quote the old limits in the last column. Use the new ones.
How the portal works out your figures:
- Investment is the written down value of your plant, machinery and equipment from your ITR. Land, building and furniture are left out, so your office does not count. Pollution control, R&D and safety kit are left out too.
- Turnover comes from your ITR and GST data. Your export turnover is left out.
- Moving up a size? You keep the non-tax benefits of the old one for three years.
- Moving down takes effect from the next 1 April.
Getting paid from abroad: keep proof of every foreign payment. With Xflow, you can download an eFIRA (electronic Foreign Inward Remittance Advice) within 24 hours of every withdrawal, at no extra cost.
Almost every sole proprietor is micro. A freelancer with a laptop and ₹40 lakh of fees is far inside both limits. If your figures sit close to a limit, test your category against more examples.
What Documents Are Required for MSME Registration for Proprietorship?
MSME registration documents are never uploaded. You only type in details from your Aadhaar, PAN, GSTIN (if GST applies to you) and bank account, and the Udyam portal checks them against government records.
So the documents required for MSME registration for proprietorship firms are really a list of details to keep ready:
| Detail | Where it comes from |
|---|---|
| Aadhaar number of the proprietor | Verified by Aadhaar OTP |
| PAN | Validated with the Income Tax database |
| GSTIN, if GST applies to you | Turnover pulled from GST data |
| Bank account number and IFSC | Typed in; no statement needed |
| Business address and unit location | Typed in |
| NIC code for your activity | Chosen from the portal list |
| Number of employees | Typed in |
| Investment and turnover | Auto-filled from ITR and GST; self-declared if new |
Before you start, keep these within reach:
- Your Aadhaar card, with the mobile number linked for the OTP
- Your PAN card
- A cheque or passbook to copy the account number and IFSC
- Last year's ITR figures, or your best estimate if you are new
- Your GSTIN, if you have one
Whose Aadhaar and PAN does each business use?
The documents required for Udyam registration change with the type of business. The notification sets out whose Aadhaar the form asks for:
| Business type | Aadhaar of | PAN of |
|---|---|---|
| Sole proprietorship | The proprietor | The proprietor (it is the firm's PAN) |
| Partnership firm | The managing partner | The firm |
| Hindu Undivided Family | The karta | The HUF |
| Company, LLP, co-operative, society or trust | The authorised signatory | The organisation, with its GSTIN |
Can you register for MSME without GST?
Yes. GSTIN is needed only if GST law requires you to be registered. A freelancer under the GST threshold can register with Aadhaar and PAN alone, and add the GSTIN later through "Update/Cancel Udyam Registration".
Registering on Udyam does not make you liable for GST or add any tax filing.
What you do not need
Some guides, and Google's own summary for this search, tell you to keep a rent agreement, an electricity bill, a partnership deed or MOA and AOA ready. The Udyam form asks for none of them.
You type your address, and nothing is checked against a paper document.
Lenders and tenders may ask for papers later, but the registration itself needs none.
How to Do Udyam Registration for Proprietorship, Step by Step
MSME registration for sole proprietorship online runs through four stages on udyamregistration.gov.in: verify the proprietor's Aadhaar, validate the PAN, fill in the form, then submit with a final OTP. The form itself fits in one session if your Aadhaar mobile works.
Use a laptop if you can, keep the details from the documents section open, and keep the phone linked to your Aadhaar beside you.
The tabs at the top of the form read Aadhaar Verification, PAN Verification, Basic Details, Official Address, Plant/Unit Details and Other Details.
Stage 1: Verify the proprietor's Aadhaar
- On the home page, under "For New Entrepreneurs who are not Registered yet as Micro, Small & Medium", click "New Registration".
- Enter your Aadhaar number and your name exactly as printed on the Aadhaar card, including initials.
- Tick the consent box and click "Validate & Generate OTP".
- Type the OTP sent to the mobile linked to your Aadhaar and validate it. The PAN section opens below.
Stage 2: Validate your PAN and check the figures it pulls
- For type of organisation, choose "Proprietary". Enter your own PAN, because a proprietor's PAN is the firm's PAN.
- Click "PAN Validate". The portal shows the name on your PAN record.
- Answer whether you filed an ITR for the previous year. If you are new and have not, choose "No"; your investment and turnover then become a self-declaration.
- If you choose "Yes", check the fetched figures: investment as written down value, and turnover split into total, export and net. Net turnover is what sets your size.
- Answer whether you have a GSTIN. If GST law does not require you to register, you can carry on without one.
Stage 3: Fill in the form, field by field
Most fields are simple. These are the ones proprietors get wrong:
| Field | What to enter | Watch out for |
|---|---|---|
| Mobile and email | A number and inbox you will keep | Every later print or update OTP goes here, not to your Aadhaar mobile |
| Social category, gender, Specially Abled | Your own details | Some state schemes use the social category |
| Name of enterprise and units | Your trade name and each place you work from | Use the name on your invoices and bank account |
| Official address | Where you run the business; a home office is fine | The district decides which District Industries Centre you fall under |
| Previous EM-II or UAM number | Only if you had one | Old Udyog Aadhaar holders should use "UAM Migration to Udyam" instead |
| Date of incorporation and commencement | The date you started the business | A proprietorship has no incorporation, so use your start date |
| Bank name, IFS code, account number | The account your clients pay into | Copy the IFS code from a cheque, not from memory |
| Major activity and NIC code | Services or Manufacturing (the only two options), then your codes | A trader picks Services, then a trading code, which limits benefits |
| Persons employed | Staff numbers by male, female and others | These show on the annexure copy banks may ask for |
| Portal opt-ins | GeM, TReDS, NCS, NSIC B2B, Skill India | All optional; tick GeM only if you plan to sell to government buyers |
Stage 4: Submit and get your number
- Tick the declaration and click "Submit & Get Final OTP".
- Enter the OTP. Your Udyam Registration Number appears on screen in the form UDYAM-XX-00-0000000. Take a screenshot.
- Wait for the e-certificate. It is issued online when registration completes, and the Ministry's MSME Champions FAQ says this generally takes 2 to 3 days when PAN and GST details are used.
- Print it: open "Print / Verify" and choose "Print Udyam Certificate". Enter the number and registered mobile, pick OTP on mobile or email, type the case-sensitive verification code, then enter the OTP and click "Validate OTP & Login".
- Check the printed copy. It carries a dynamic QR code that anyone can scan to see your record.
What if the form stops you?
| Problem | Likely cause | Fix |
|---|---|---|
| Aadhaar OTP never arrives | No mobile linked to the Aadhaar, or an old number | Update the mobile at an Aadhaar centre, then start again |
| PAN name does not match Aadhaar | Different spellings on the two records | Correct the PAN or Aadhaar record first; the portal cannot override it |
| PAN already registered | You, or an agent, registered this PAN before | Use "Forgot Udyam/UAM Number" to recover it; one PAN gets one Udyam |
| Fetched turnover looks wrong | It follows your ITR and GST filings | Fix the return itself; the Udyam form cannot correct filed figures |
| Verification code rejected | It is case-sensitive | Retype it in the exact case, or load a fresh code |
Still stuck? Recheck what each Udyam form field expects, then call or WhatsApp the MSME Champions helpline on +91 8308809334 (Monday to Friday, 10 am to 6 pm), email champions@gov.in, or visit your District Industries Centre.
How Do You Choose the NIC Code for Udyam Registration?
Choose the NIC code for Udyam registration that matches the work you bill for. On the form, pick your major activity, then go from the 2-digit division to the 4-digit class and the 5-digit code in the drop-downs.
If you do not know the division, click "Search NIC Code in Lesser Steps" and type a word such as "software" or "tutoring". Click "Add Activity" after each code, and add your main line of work first.
Every activity you invoice for should appear.
Codes for common sole proprietor services, from the official NIC-2008 list:
| Your work | NIC code | Official description (short) |
|---|---|---|
| Software development for clients | 62011 | Writing and testing programs for a client |
| Website design | 62012 | Web-page designing |
| IT consulting | 62020 | Computer consultancy |
| Data processing | 63111 | Data processing, including report writing |
| Accounting and bookkeeping | 69201 | Accounting, bookkeeping and auditing |
| Tax consulting | 69202 | Tax consultancy |
| Management consulting | 70200 | Management consultancy |
| Architecture or engineering | 71100 | Architectural and engineering activities |
| Advertising and digital marketing | 73100 | Advertising |
| Graphic design | 74103 | Services of graphic designers |
| Photography | 74201 | Commercial and consumer photograph production |
| Content and technical writing | 90004 | Activities of individual writers |
| Tuition | 85491 | Academic tutoring services |
Two cautions. Codes in divisions 45, 46 and 47 count as retail and wholesale trade, which limits you to priority sector lending, so do not pick one unless you trade goods.
Selling goods online (47912, retail sale via e-commerce) is trading too. If nothing fits, 74909 covers other professional and technical work.
Is MSME Registration Free?
Yes. MSME zero cost registration online is the only official route. The rules say there is no fee for Udyam, and the portal warns about fake sites.
Udyam registration fees only appear on private sites. On 15 October 2026, page two of Google for this search showed a seller charging ₹999 for a proprietorship Udyam "in 24 to 48 hours".
The free portal gives you the number on submission and the certificate, generally within 2 to 3 days, at no cost.
How to make sure you are on the real portal:
- Type udyamregistration.gov.in yourself, or click "Udyam Registration" on msme.gov.in.
- The portal lists its official addresses: udyamregistration.gov.in, udyam.gov.in, msmeregistration.gov.in and udyamregistration with the .com, .in, .co.in, .biz, .org and .info endings.
- The real portal has no payment page and never asks you to share an OTP with anyone.
- PIB Fact Check flagged a fake site charging ₹2,700 for registration on 8 September 2022.
Already paid an agent? Open "Print / Verify", choose "Verify Udyam Registration", and enter the number with the verification code. If the record shows your name, print your own copy with your registered mobile. If it does not, register yourself.
What Are the MSME Registration Benefits for a Sole Proprietor?
The main MSME registration benefits for a sole proprietor are faster payment from buyers, collateral-free loans, priority sector lending and a head start in government buying. Most apply to micro and small enterprises only, and traders get lending benefits alone.
| Benefit | Who gets it | How you use it |
|---|---|---|
| Payment within 45 days (MSMED Act) | Micro and small manufacturers and service providers | Quote your Udyam number on invoices; claim on the MSME ODR portal |
| Buyer's tax deduction tied to paying you on time (43B(h)) | Same as above | Remind buyers that paying late delays their tax deduction |
| No collateral on bank loans up to ₹20 lakh | Micro and small, for loans sanctioned or renewed from 1 April 2026 | Quote the rule when your bank asks for security |
| Collateral-free loans up to ₹10 crore (CGTMSE) | Micro and small enterprises | Ask your bank for a CGTMSE-covered loan |
| Priority sector lending | All registered MSMEs, including traders | Show the certificate when you apply for credit |
| Public Procurement Policy | Micro and small, not traders | Central government buyers must source 25% of yearly purchases from them; tender fee and EMD are waived |
| TReDS invoice discounting | MSMEs selling to large buyers | Sell approved invoices for early cash |
| Proof of business for a current account | Any proprietor | The RBI's KYC list accepts the Udyam certificate |
What Udyam does not give you, despite some pages: tax holidays, excise exemptions or a lower income tax rate.
GST replaced central excise on most goods in 2017. The trademark fee is not a reason to register either: as an individual you already pay ₹4,500, the same as a registered MSME.
Which second proof should you pair with Udyam for a current account?
Pair your Udyam certificate with one more proof of business, because banks ask a sole proprietor for two. The RBI's KYC rules list eight accepted proofs, and Udyam is one of them.
Pick the second by the kind of work you do:
| Your business | Udyam plus |
|---|---|
| Freelancer billing foreign clients | Import Export Code (IEC) |
| Shop or office with staff | Shop and Establishment registration |
| Online seller or GST-registered firm | GST registration certificate |
| Doctor, CA or other licensed professional | Certificate of practice from your council |
If you hold none of these yet, the proprietorship registration steps show where to get each one.
How Do You Use Your MSME Status to Get Paid Within 45 Days?
Buyers in India must pay a micro or small supplier by the agreed date, and the agreed term cannot exceed 45 days from acceptance. With no written agreement, payment is due within 15 days of acceptance.
Late payment carries compound interest with monthly rests at three times the RBI Bank Rate. With the Bank Rate at 5.75% since October 2026, that is 17.25% a year.
The rule covers supplies you make after your Udyam registration, and not traders.
Business buyers who pay late can claim the expense only in the year they actually pay you (old section 43B(h), now section 37(2)(g) of the Income-tax Act, 2025).
Invoice wording (copy and fill in)
- Supplier: [micro / small] enterprise, Udyam Registration Number [UDYAM-XX-00-0000000].
- Terms: payment within [number, not more than 45] days of acceptance, as required by section 15 of the MSMED Act, 2006.
- Late payment: compound interest with monthly rests at three times the RBI bank rate, under section 16.
If a buyer does not pay, check these before you file a claim:
- Your Udyam registration date is earlier than the invoice date. Register before you invoice.
- You make goods or provide services; you do not just trade.
- The buyer is in India. Overseas buyers are not covered.
- You have the purchase or work order, or an affidavit if the order was oral.
- Your invoices and proof of delivery are combined in one PDF.
Then file the claim:
- Go to the MSME ODR portal (odr.msme.gov.in) and sign up with your Udyam number. The older MSME Samadhaan portal now sends new applications here.
- Enter the buyer's name, address and the unpaid invoices with their dates and amounts.
- Upload the order and the combined invoice PDF, then submit.
- The portal first offers online negotiation with the buyer. If that fails, the case goes to the MSE Facilitation Council of your state.
The council tries conciliation first. If that fails, it decides the case by arbitration, and the Act asks it to decide within 90 days of the reference.
A buyer who wants to challenge the award must deposit 75% of the amount first.
MSME Registration for Proprietors Who Export Services
Udyam registration for freelancers and service exporters works the same way. One plus: money earned from exports does not count when your size is worked out.
Take a software firm in Hyderabad, run as a proprietorship, with ₹12 crore of turnover, ₹9 crore of it from US clients (illustrative).
Its total is above the ₹10 crore micro limit, but its net turnover for Udyam is ₹3 crore.
If its investment in equipment is also within ₹2.5 crore, it stays a micro enterprise and keeps the 45-day protection on its Indian clients.
- Payment protection covers buyers in India only. The delayed-payment rules do not apply to overseas buyers.
- KYC is easier. Udyam plus an IEC makes the two proof of business documents a bank needs for a current account.
Keep a FIRA for every foreign payment as your export proof, and know how it differs from a FIRC.
Xflow accepts sole proprietorships that export goods or services, and provides an eFIRA within 24 hours for every international transaction.
What Should You Do After MSME Registration?
After registration, download your certificate, keep your details current each year and use the number on your invoices.
Each task runs from the "Print / Verify" menu on the portal, with an OTP to the mobile or email you gave in the form.
- Download and share. Choose "Print Udyam Certificate", enter your number and registered mobile, then the OTP and verification code. Share the plain print and its QR code with buyers and banks; it is free each time.
- Forgot the number? Choose "Forgot Udyam/UAM Number" and get it by OTP on your registered mobile or email. If the print page itself fails, these download fixes usually work.
- Update yearly, never renew. The certificate is valid for life with no renewal. File your ITR and GST returns on time, then log in through "Update/Cancel Udyam Registration" to confirm the new year's details. There is no fee.
- Change details. Use the same option if you move, open a second unit or add an activity. Do not register again.
- Closing down? The same menu lists cancellation. If it does not work for your case, ask your District Industries Centre.
- Stay accurate. False figures can lead to a penalty under section 27 of the MSMED Act. If you skip the yearly update, the registration can be suspended.
Frequently asked questions
No. Udyam is voluntary, but without it you cannot claim the 45-day payment rule, CGTMSE loans or tender benefits.
The MSMED (Amendment) Act, 2026, signed in August 2026 and being brought into force in stages from October 2026, makes it free and voluntary for every MSME.
Yes. The form is built for self-filing with Aadhaar OTP, and needs no agent, CA or upload.
The form takes one session, and your Udyam number appears the moment you submit. The e-certificate is issued online afterwards; the Ministry's Champions FAQ says this generally takes 2 to 3 days when PAN and GST details are used.
Not on the portal itself. Visit your District Industries Centre or an MSME Champions office with your Aadhaar enrolment slip, or another ID such as a voter ID, passport or driving licence.
They help you get Aadhaar and complete the registration.
No. Every state uses the same national Udyam portal and the same form. Your state only decides which District Industries Centre you fall under and which state subsidy schemes you can apply for.
On the home page, choose "UAM Migration to Udyam" under the option for those already registered as Udyog Aadhar Memorandum.
Enter your UAM number, verify with the OTP sent to the mobile or email on the UAM, then complete the same form. Old EM-II holders use "New Registration" instead.
