Sole Proprietorship Registration in India: Steps, Documents and Fees in 2026

Registered your proprietorship?

Start receiving payments from clients abroad, with an eFIRA on every withdrawal.

There is no single sole proprietorship registration in India: you prove the business with your PAN, a free Udyam certificate, a Shop Act licence where your state needs one, and GST above the threshold.

Then you open a current account in the trade name.

A proprietorship firm and its owner are the same person in law. So the government never "creates" the business; you collect proofs that it exists, and the bank is where those proofs get tested.

This guide covers each step of sole proprietorship firm registration, the documents, the costs, the bank visit and the extra steps for exporters.

Sole proprietorship registration in India: key takeaways

  • No company-style incorporation exists for a proprietorship. Your PAN, a Udyam certificate, a Shop Act licence where needed and GST above the threshold together prove the business.
  • Filing yourself costs little: PAN, Udyam and GST carry no government fee, and Shop Act fees run from nothing to a few hundred rupees a year.
  • A bank opens a current account in the trade name when you show any two of the eight proofs of business the RBI lists.
  • GST is compulsory above ₹20 lakh of turnover for services or ₹40 lakh for goods only. Selling goods to another state needs it from the first sale.
  • Business debts are your personal debts. That unlimited liability is the main reason proprietors later move to an LLP or a company.

How Do You Register a Sole Proprietorship in India, Step by Step?

You register a sole proprietorship in India in six steps, all but the bank online. Pick a name, ready your PAN and Aadhaar, get Udyam, add the Shop Act and GST if they apply, and open a current account.

Here is how to register sole proprietorship in India without a consultant.

  • Choose a business name. Pick a trade name that no one has trademarked; check it on the free public search at ipindia.gov.in. Udyam, GST and the Shop Act record the name but do not reserve it.
  • Keep your PAN and Aadhaar ready. A sole proprietor uses their personal PAN for the business. If you have none, get the free instant e-PAN on incometax.gov.in. Link Aadhaar to your mobile first, because every portal sends OTPs there.
  • Apply for Udyam Registration (MSME). This takes about 20 minutes on udyamregistration.gov.in, with no uploads. The walk-through is just below.
  • Get a Shop and Establishment licence if your state requires it. The route depends on the state and your staff count; see the state list below.
  • Apply for GST registration (if applicable). Apply free on gst.gov.in. Whether you need it is covered in the GST section.
  • Open a current bank account. Take two proofs of business, plus your PAN and Aadhaar, to the bank. The branch visit has its own section below.

Udyam registration for proprietorship, screen by screen

Udyam registration for a proprietorship needs only the owner's Aadhaar and PAN, and you get a Udyam number as soon as you submit.

  • On udyamregistration.gov.in, click New Registration (the button for entrepreneurs not yet registered).
  • Enter your Aadhaar number and your name as it appears on Aadhaar, tick the consent box and click Validate & Generate OTP. Enter the OTP sent to your Aadhaar-linked mobile.
  • Choose proprietorship as the type of organisation, enter your PAN and click PAN Validate. The portal then asks whether you filed an ITR for the previous year. A brand-new business answers no.
  • Fill the tabs: Basic Details, Official Address, Plant/Unit Details and Other Details, with your trade name as the enterprise name. Major Activity offers only Manufacturing or Services, so a trader picks Services and then a trading NIC code.
  • Choose your NIC code from the 2, 4 and 5-digit drop-downs, or use Search NIC Code in Lesser Steps. Click Add Activity for each line of business.
  • Tick the declaration and click Submit & Get Final OTP. Enter the OTP.

You see your Udyam number on submit.

The e-certificate is issued online once processing completes, generally in 2 to 3 days when PAN and GST details are used, according to the Ministry's Champions FAQ. Download it later from Print/Verify, then Print Udyam Certificate, using your Udyam number and an OTP.

Two errors stop most people. If the name on PAN and Aadhaar differ, correct one of them first. If no OTP arrives, your mobile is not linked to Aadhaar.

For anything else, call or WhatsApp the helpline on +91 8308809334 (Monday to Friday, 10 to 6) or email champions@gov.in.

Shop Act registration by state

Whether you need a Shop and Establishment licence depends on your state and your staff count. Many small units now file a free intimation instead of a full registration.

  • Maharashtra (Gumasta): under the October 2025 amendment, units with fewer than 20 workers file a Form F intimation on lms.mahaonline.gov.in, with no fee in the 2018 Rules; larger units register on Aaple Sarkar.
  • Karnataka: apply on e-Karmika (ekarmika.karnataka.gov.in).
  • Tamil Nadu: registration starts at 10 workers, on labour.tn.gov.in, for ₹100.
  • Kerala: everyone registers, staff or not, on LCAS, and renews every year.
  • Delhi: nobody needs to register; the requirement has been on hold since 1989.

For any other state, open the state labour department's website and look for "Shop and Establishment". Keep the address proof, ID, a photo and your staff numbers ready.

A shop may also need a municipal trade licence, and a food business an FSSAI registration.

GST registration in brief

On gst.gov.in, choose Services, then Registration, then New Registration. Part A takes your PAN, mobile and email and gives you a Temporary Reference Number (TRN). Part B is Form GST REG-01: business details, address proof, bank account and a photo.

Opt for Aadhaar authentication to avoid a site visit.

You get an ARN on submit, and the GSTIN and certificate (Form GST REG-06) usually within 7 working days. If a document upload or field stops you, follow the GST portal screen by screen.

What Documents Are Required for Sole Proprietorship Registration?

The sole proprietorship registration documents are your PAN, your Aadhaar, an address proof for the business premises and a photograph. Each registration draws from this same short list.

  • PAN of the proprietor: used for Udyam, GST, the bank and income tax.
  • Aadhaar: needed for Udyam and GST authentication, so link your mobile number first for the OTPs.
  • Business address proof: an electricity bill or property tax receipt if you own the premises, or a rent agreement plus the landlord's NOC if you rent.
  • Identity proof: a passport, voter ID or driving licence for the bank's KYC.
  • Photograph: a recent passport-size photo for GST, the Shop Act and the bank.
  • For the bank only: a cheque for the opening deposit, which some banks also ask for as a cancelled cheque later.

Working from home is fine. Use your home address, with a utility bill or, if you rent, the agreement and the owner's NOC.

What Does a Bank Need for a Current Account for Proprietorship Firms?

A current account for proprietorship firms needs your own KYC plus any two documents that prove the business exists, from a list of eight set by the RBI. This is the real test of proprietorship registration.

The RBI's KYC Directions, 2025 list these accepted proof of business documents:

  • a registration certificate, including the Udyam Registration Certificate
  • a Shop and Establishment certificate or licence
  • sales and income tax returns
  • a CST, VAT or GST certificate
  • a certificate or registration from the sales tax, service tax or professional tax authorities
  • an IEC from the DGFT, or a licence or certificate of practice from a statutory professional body
  • a complete income tax return in the proprietor's name that shows the firm's income, acknowledged by the Income Tax Department
  • a utility bill, such as electricity, water or landline, in the firm's name

Two details are easy to miss. If you can produce only one of these, the bank may accept it after a contact point verification, a check that the business really runs from that address.

And an IEC counts, so a freelancer with no shop can still reach two documents.

The cheapest valid pair depends on how you work:

Your businessEasiest pair of documentsCost to get them
Freelancer working from home, below the GST thresholdUdyam + IEC, or Udyam + professional tax registrationUdyam free; IEC ₹500
Shop or officeUdyam + Shop and Establishment licenceUdyam free; Shop Act fee set by your state
Online seller of goodsUdyam + GST certificate, once registeredBoth free
Doctor, CA, architect or other licensed professionalUdyam + certificate of practiceUdyam free; you already hold the certificate
Exporter of servicesUdyam + IEC or GST certificateUdyam free; IEC ₹500; GST free

Payment platforms and collection services ask for the same proofs during onboarding, so the pair you pick here usually works there too.

What happens at the branch

  • Call the branch and ask which two proofs it accepts and the minimum opening deposit.
  • Carry originals and self-attested copies of your PAN, Aadhaar, two proofs and two photos.
  • Fill the account opening form in the trade name, with you as sole proprietor. Most banks also ask for a signed proprietorship declaration, often on your letterhead.
  • Pay the opening deposit by cheque or transfer.
  • If you gave only one proof, expect a contact point verification visit at your business address.

Many accounts are active within one to three working days, though each bank sets its own timeline. Here is why applications get held up:

Why the bank holds itThe fix
Trade name differs across Udyam, GST and the formUpdate the certificate on its portal so every document matches
Address on the proofs does not match the premisesUpdate Udyam or GST, or use a proof that shows this address
Only one proof of businessAdd a free second proof, such as Udyam or professional tax
Udyam shows your personal name onlyEdit the enterprise name on the Udyam portal to the trade name

There is no single best bank for a sole proprietorship, because plans differ by what you do most, so compare current account plans. Compare these four:

  • Minimum balance: the average balance and the charge for missing it.
  • Cash handling: the free cash deposit limit, which matters for shops and traders.
  • Digital collections: UPI QR, payment links and statement downloads for your accounting software.
  • Foreign inward remittances: the exchange margin, the charge per payment and the FIRA fee, if clients pay you from abroad.

Can you use a savings account for your proprietorship?

You can, because no tax law requires a current account for a proprietorship, but a separate current account in the trade name is usually the safer choice.

  • The GST portal accepts a bank account held in the proprietor's own name.
  • Savings accounts are meant for personal use, so check your bank's terms. Large or frequent business receipts there can prompt questions from the bank.
  • Clients, platforms and lenders expect payments to land in an account in the trade name.
  • For foreign client payments, records and FIRAs are cleaner in a business account that you use only for the business.

When Is GST Registration Mandatory for a Proprietorship?

GST registration for proprietorship firms is mandatory once aggregate turnover crosses ₹20 lakh a year for services or ₹40 lakh for goods only.

The limit is ₹10 lakh in Manipur, Mizoram, Nagaland and Tripura, and some businesses must register from the first rupee.

SituationMust you register?
Services, turnover up to ₹20 lakh (₹10 lakh in the four special category states)No
Goods only, turnover up to ₹40 lakh (₹20 lakh in states that did not adopt the ₹40 lakh limit)No, unless you sell across state lines
Inter-state supply of goodsYes, from the first sale
Inter-state supply of services below ₹20 lakhNo, exempt under Notification 10/2017-Integrated Tax
Selling goods through an e-commerce marketplaceNo below the threshold, if you sell only within your state and enrol on the GST portal first
Export of services below ₹20 lakhNo, but you may want to (see the next section)

The inter-state row matters most. Some ranking guides say any inter-state supply forces GST registration, but that is true for goods only. A designer in Pune billing a client in Bengaluru needs no GSTIN until turnover crosses ₹20 lakh.

Below the threshold you can still choose voluntary registration. It lets you claim input tax credit on laptops, software and rent, and some business clients prefer it. The trade-off is regular returns from then on.

What Does Proprietorship Registration Cost, and How Long Does It Take?

Proprietorship registration costs close to nothing if you file yourself. PAN, Udyam and GST carry no government fee, an IEC costs ₹500, and only the Shop Act fee varies by state.

RegistrationOfficial siteGovernment feeTypical time
e-PANincometax.gov.inFreeSame day
Udyamudyamregistration.gov.inFreeNumber on submit; e-certificate generally in 2 to 3 days

Shop Act fees in five states:

StateFee
Tamil Nadu₹100, only from 10 workers
Kerala₹70 to ₹5,250 a year, by staff count; everyone registers
Gujarat₹500 for a shop or establishment, from 20 workers; smaller units file a free intimation
MaharashtraNo fee in the 2018 Rules; under 20 workers, a Form F intimation
DelhiNone; no registration needed

Two examples show the range. A freelance designer working from home in Delhi pays ₹0, or ₹500 with an IEC. A clothing shop in Chennai with 12 staff pays ₹100 for the Shop Act, plus its city trade licence.

Consultant packages on page one started at ₹499 for one registration and about ₹3,499 for GST, Udyam and a year of GST returns.

The returns can be worth paying for; Udyam rarely is, since sole proprietorship registration online is free on every government portal. Before you pay anyone, check your state fees and yearly running costs.

How Do You Register as a Freelancer or Service Exporter?

If you bill clients outside India, register the same way, then add a GST and LUT decision, a FIRA for each payment and the right purpose code. Most service exporters do not need an IEC.

Take a developer in Kochi earning ₹15 lakh a year from a US client:

  • GST is optional below ₹20 lakh. The service exemption applies to exports too.
  • File a LUT if you register. File the free LUT (Form GST RFD-11) each year to bill exports as a zero-rated supply. On gst.gov.in, go to Services, User Services, Furnish Letter of Undertaking (LUT).
  • Get paid in foreign currency. Payment must arrive in convertible foreign exchange, or in rupees where the RBI allows. From 1 October 2026, export proceeds must be realised within nine months of the invoice date.
  • IEC only if you claim Foreign Trade Policy benefits. The DGFT says service exports do not otherwise need one. At ₹500 it also counts as a bank proof, so many freelancers take it anyway.
  • Check the purpose code. Your bank tags each inward payment with an RBI purpose code. Make sure it matches the service you sold, since your export records rely on it.
  • Keep a FIRA for every payment. It proves the foreign inward remittance for GST export claims and your bank's records.

Xflow accepts sole proprietorships that export goods or services, and provides an eFIRA within 24 hours for every international transaction.

How Is a Sole Proprietorship Taxed?

A sole proprietorship is taxed as the owner's personal income, at the proprietor's slab rates, because the business has no separate legal entity. Business profit is added to your other income and filed in one return.

Under presumptive taxation, you declare a fixed share of turnover as profit and skip detailed books:

WhoTurnover or receipts limitProfit you declare
Business (old section 44AD)₹2 crore, or ₹3 crore if cash receipts are within 5%8% of turnover, or 6% of receipts by bank or UPI
Specified profession (old section 44ADA)₹50 lakh, or ₹75 lakh if cash is within 5%50% of receipts
Tax audit, if not presumptiveAbove ₹1 crore of business turnover (₹10 crore if cash is within 5%) or ₹50 lakh of professional receiptsAudited accounts

Specified professions include legal, medical, engineering, architecture, accountancy and technical consultancy, so check yours first.

From tax year 2026-27, both schemes sit in section 58 of the Income-tax Act, 2025. Returns for the year ended 31 March 2026 still use the old sections.

Worked example

A consultant with ₹30 lakh of receipts declares ₹15 lakh under the 50% rule.

Under the new regime, tax is ₹1,05,000 plus 4% cess, so ₹1,09,200. A shop with ₹50 lakh of UPI and bank sales declares ₹3 lakh (6%) and pays no tax after the rebate.

  • Which return: ITR-4 if you are resident, use presumptive taxation and total income is up to ₹50 lakh; otherwise ITR-3. It is due by 31 July when no audit applies.
  • Advance tax: due once your tax for the year is ₹10,000 or more. Presumptive taxpayers pay it all by 15 March; others pay by 15 June, 15 September, 15 December and 15 March.
  • New regime: resident individuals pay no tax on income up to ₹12 lakh after the rebate, excluding special-rate income such as capital gains.
  • Professional tax: charged by states such as Maharashtra, Karnataka and West Bengal, capped at ₹2,500 a year.

If you freelance, settle how your freelance income is taxed before the first advance tax date.

What Are the Disadvantages of a Sole Proprietorship?

The seven disadvantages of sole proprietorship are unlimited liability, no separate legal identity, no outside equity, no continuity, higher tax at high profits, an unprotected trade name and weaker standing with some clients.

Each has a fix or a point where you should change structure.

DisadvantageWhat it means in practiceHow to reduce it
Unlimited liabilityIf the business cannot pay a supplier ₹8 lakh, the supplier can recover it from your savings, vehicle or homeKeep business and personal money apart, cap liability in contracts, and consider professional indemnity cover
No separate legal entityEvery contract, loan and lawsuit is in your personal name; the firm cannot own property by itselfSign as "Your Name, proprietor of Trade Name" so the business is clearly identified
No outside equityYou can borrow, but you cannot sell a stake, so an investor has nothing to buyMove to a private limited company before you start a funding round
No continuityThe firm ends with you; heirs inherit the assets, but the GSTIN, Udyam and bank account are tied to your PANKeep a will that covers business assets, and written records of clients and contracts
Higher tax at higher profitsUnder the new regime, income above ₹24 lakh is taxed at 30%; a company can opt for a 22% base rateCompare the total cost with a CA: a company also pays tax when you take money out
Trade name not protectedAnother business can trade under the same name in your cityFile a trademark (₹4,500 per class for an individual or small enterprise)
Weaker standing with some clientsSome vendor checks and tenders ask for a company or LLP, or years in businessA Udyam certificate, a GSTIN and filed returns answer most checks; if not, it is time to convert

The advantages are just as real: no minimum capital, no annual filings with the Registrar of Companies, one tax return, and full control.

When should you convert to an LLP or a private limited company?

Convert when a disadvantage starts costing you money or clients. Typical triggers: an investor wants shares, a contract carries damages you could not pay, a client insists on a company, or profits sit in the 30% slab every year.

Can raise equityNoNo, until convertedPartner capital onlyYes

There is no direct conversion route for a proprietorship. The LLP Act converts only partnership firms and companies, so you set up a new entity and transfer the business to it. The usual order is:

  • Incorporate the company through SPICe+ or the LLP through FiLLiP on the MCA portal. The new entity gets its own PAN.
  • Sign a business transfer agreement that moves assets, liabilities, contracts and staff.
  • Register the new entity for GST and file Form GST ITC-02 to move unused input tax credit, with a CA's certificate.
  • Open the new bank account, register the new entity on Udyam, and move client contracts and invoices to it from the changeover date.
  • Cancel the old GSTIN through Form GST REG-16 and update or cancel the old Udyam.

The transfer is tax-neutral only into a company. All assets and liabilities must pass to it, you must be paid only in shares, and you must keep at least 50% of the votes for five years.

A transfer into an LLP has no such exemption. Plan the sequence with a CA or company secretary.

Is There a Sole Proprietorship Registration Certificate?

No, there is no government-issued sole proprietorship registration certificate in India. A proprietorship is proved by the certificates of its separate registrations, mainly Udyam, GST and the Shop Act.

So when a client, platform or bank asks for your "registration certificate", send one or more of these:

CertificateWhat it provesHow someone can check itRenewal
Udyam Registration CertificateYour enterprise exists, its activity, address and MSME categoryScan its QR code, or verify the number on udyamregistration.gov.inNone, but keep details updated
GST registration certificate (Form GST REG-06)You are registered for GST, with your legal name, trade name and principal place of businessSearch the GSTIN on gst.gov.inValid until cancelled
Shop and Establishment licence or intimationYour premises are registered with the state labour departmentYour state's labour portalVaries by state
IECYou are registered with the DGFT to trade across bordersdgft.gov.inUpdate online every year between April and June, or it is deactivated

Use the same trade name on every certificate, your invoices and your current account. When a client's payment team or your bank compares documents, a name mismatch can hold up a payment or an account opening.

Three other myths come up often on ranking pages:

  • A separate PAN card for proprietorship: not needed. Your personal PAN is the firm's PAN, and the DGFT issues the IEC on the same number.
  • INC forms or the Registrar of Companies: these apply only to companies. A proprietorship never files with the MCA.
  • The Registrar of Firms: it registers partnerships, not proprietorships.

A "proprietorship certificate" sold by a consultant is their own document. It is not on the RBI's list of proofs, so a bank will not accept it in place of the registrations above.

Proprietorship Firm Registration Checklist: Before and After You Register

Proprietorship firm registration is complete when you hold a PAN, a Udyam certificate, any licence your activity needs, a GSTIN if required, and a current account in the trade name.

After that, a few dated filings keep you in good standing.

Frequently asked questions

No single government site handles sole proprietorship registration; each registration has its own official portal:

  • PAN: incometax.gov.in
  • Udyam: udyamregistration.gov.in, which the Ministry also runs at udyam.gov.in and msmeregistration.gov.in
  • GST: gst.gov.in
  • IEC: dgft.gov.in
  • Shop Act: your state labour department's portal

Treat a site as a private service if it charges a "package" fee for Udyam, promises a "proprietorship certificate", or asks for card details before any form. Government sites never sell a bundled registration.

Any resident Indian adult can be a sole proprietor. An NRI or OCI can own a proprietary concern on a non-repatriation basis under the FEMA (Non-debt Instruments) Rules, 2019, outside agriculture, plantations, real estate and print media.

Other foreign nationals need the RBI's prior approval.

No. A salary paid to yourself is not a business expense, because you and the firm are the same person; money you take out is drawings from profit.

Reasonable pay to family members who actually work in the business is deductible.

Yes. A sole proprietor owns all the profit and every asset, and for the same reason carries every debt personally.

No, but it is free and counts as one of the two proofs a bank accepts. Micro and small manufacturers and service providers also get the delayed-payment rules.

Buyers in India must pay within the agreed term, capped at 45 days, or 15 days if none was agreed, on supplies after registration. Traders get priority sector lending only.

If you decide to register, the Udyam steps for a proprietorship need only your PAN and Aadhaar.

There is no single form. Each registration has its own: the online Udyam form, Form GST REG-01 for GST, ANF-2A for an IEC, and your state's Shop and Establishment form (Form F for an intimation in Maharashtra).

You do not need a local agent. Every government registration is online, so the only in-person step is usually the bank branch. A local CA helps most with your state's Shop Act and with GST returns afterwards.
